Uniswap Proposal to Give DAO Legal Certainty, Says Foundation's Counsel
The Uniswap Foundation proposed establishing a legal entity in Wyoming for Uniswap Governance, structured as a Wyoming Decentralized Unincorporated Nonprofit Association (DUNA). This structure aims to provide legal certainty for governance activities, allowing for treasury management and hiring without individual liability for members. The proposal may enable revisiting a fee switch to allow UNI token holders to receive a portion of trading fees, previously hindered by U.S. securities law concerns. Uniswap has generated $122 million in fees recently, with $6 billion in digital assets on the platform. Uniswap Governance operates as a Decentralized Autonomous Organization (DAO), enabling community-based decision-making. Wyoming's DUNA law grants DAOs legal standing, allowing them to contract, own assets, and engage in legal actions. The framework aims to preserve decentralization while providing necessary legal recognition.
