SEC clears regulatory hurdle as crypto token buybacks hit record $638 million
Crypto token buybacks reached a record $638 million by late August 2026, led by Hyperliquid and Pump.fun. SEC staff guidance says buyback announcements for non-security tokens on functional networks generally do not constitute promises of managerial efforts under the Howey test, while similar claims by unfinished projects could support a securities analysis. The guidance is nonbinding and depends on the token already being outside securities law. A pending SEC proposal could create fundraising exemptions and a transition filing for projects that complete or end promised development work.
